1. Definitions
For the purposes of these Terms:
- “Agreement” means these Referral Program Terms & Conditions.
- “Business Customer” means a legal entity or natural person acting in the course of its trade, business, or profession.
- “Currency” means USD or EUR, determined by the billing currency of the Referred User’s subscription.
- “Credit” means the promotional account credit granted under this Agreement.
- “Referrer” means the existing Swydo customer who provided the referral link.
- “Referred User” means the new customer accepting these Terms.
- “Services” means Swydo’s reporting and monitoring platform and related offerings.
- “Territory” means all countries where Swydo is legally permitted to offer the Services.
2. Parties
This Agreement is entered into between:
- Swydo B.V. (“Swydo”), and
- The Referred User, who accepts these Terms by registering through a valid referral link.
Participation constitutes a legally binding agreement.
3. Eligibility
To participate in the Referral Program:
- The Referred User must be a Business Customer.
- The account must be completely new to Swydo:
- No prior trial
- No prior account
- No payment history
- No prior trial
- Registration must occur through a valid referral link supplied by the Referrer.
- Accounts linked to existing Swydo customers via shared domain, billing address, or payment method are not eligible.
- Sub-accounts created under existing agency accounts do not qualify.
- Swydo reserves the right to determine eligibility based on internal records.
Failure to meet these conditions voids promotional benefits.
4. Promotional Offer
Subject to eligibility:
- The Referred User receives an extended trial period where applicable.
- After upgrading to a paid subscription and completing the first successful invoice payment, the Referred User receives:
- 150 EUR Credit for EUR-billed accounts
- 150 USD Credit for USD-billed accounts
- 150 EUR Credit for EUR-billed accounts
- Credit conditions:
- Applies to subscription fees only
- Cannot be exchanged for cash
- Non-transferable
- Cannot be resold
- May be applied across multiple invoices
- Expires twelve (12) months after issuance
- Automatically forfeited upon account termination
- Applies to subscription fees only
- Swydo may revoke Credit if eligibility is later found invalid.
5. Payment & Subscription Obligations
- Standard subscription pricing and billing terms apply.
- Credit does not alter contractual payment obligations.
- All invoices remain payable under Swydo’s standard Terms of Service.
- Taxes, VAT, or other charges remain the responsibility of the Referred User.
6. Acceptable Use
The Referred User agrees not to:
- Create accounts to obtain multiple Credits
- Collude with Referrers to manipulate eligibility
- Provide false business or billing information
- Engage in fraudulent or deceptive activity
Swydo may suspend or terminate accounts engaged in such conduct.
7. Data Protection & Privacy
- Personal data is processed in accordance with Swydo’s Privacy Policy
- Swydo acts as an independent data controller.
- The Referred User consents to communication relating to the referral and promotional offer.
- Each party remains responsible for its own legal compliance obligations.
8. Limitation of Liability
Swydo is not liable for:
- Referral tracking failures
- Expired or revoked Credits
- System outages or interruptions
- Indirect or consequential losses
Total liability shall not exceed the value of Credit granted under this Agreement.
9. Termination
Swydo may:
- Modify or withdraw the Referral Program at any time
- Revoke Credits obtained through ineligible activity
- Terminate accounts violating these Terms
Termination does not affect obligations incurred prior to termination.
10. Governing Law
This Agreement is governed by the laws of The Netherlands.
Disputes shall be:
- Attempted through negotiation
- Escalated to mediation in Amsterdam
- Submitted exclusively to Amsterdam courts if unresolved
11. General Provisions
- These Terms apply only to Business Customers
- Rights may not be assigned without Swydo consent
- Invalid provisions do not affect remaining clauses
- Participation indicates acceptance of these Terms
- If the Referred User disagrees, they must not participate
